1. Acceptance of Terms

By accessing or using e-Invoice.app ("the Site"), whether as a guest or a signed-in user, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. Continued use constitutes ongoing acceptance. Signing in via LinkedIn constitutes additional affirmative consent. If you do not agree, you must cease using the Site.

Authority to bind. If you access or use the Site on behalf of any organisation, employer, principal, or client (including as an employee, officer, contractor, agent, or representative), you represent and warrant that you have authority to bind that organisation to these Terms. References to "you" in these Terms include both you personally and that organisation, and both are jointly and severally bound. You remain personally bound in any event.

2. Description of Service

e-Invoice.app is a community-driven website providing e-invoicing compliance information, vendor information, and related tools. Features may be added, modified, or removed at any time without notice.

3. User Accounts

3.1 LinkedIn Authentication

You must sign in with a valid LinkedIn account to access certain features. By signing in, you:

  • Represent that you are at least 18 years old
  • Agree to provide accurate information
  • Authorise us to access your LinkedIn profile data as described in our Privacy Policy
  • Accept responsibility for all activities under your account

3.2 Account Security

You are responsible for maintaining the security of your account and any devices used to access the Site. Notify us immediately of any unauthorised access or security breaches.

4. User Conduct

4.1 Acceptable Use

You agree to use the Site lawfully, in good faith, and in accordance with these Terms. Provide accurate information when contributing content, and attribute third-party material you share.

4.2 Prohibited Conduct

You agree NOT to:

  • Post false, misleading, or malicious information
  • Engage in spam, advertising, or solicitation without permission
  • Harass, threaten, or abuse other users
  • Manipulate vendor upvotes, rankings, or voting systems through automated means, sockpuppet accounts, or coordinated inauthentic behaviour
  • Circumvent or interfere with access control technologies, consent management, or security measures
  • Reverse engineer or attempt to access restricted areas
  • Upload viruses, malware, or harmful code
  • Impersonate other users or organisations

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of content you create (comments, discussions, feedback). You represent and warrant that you own or have all necessary rights to the content you submit, and that it does not infringe any third-party intellectual property, privacy, publicity, or other rights.

By posting content, you grant e-Invoice.app a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable licence to use, host, store, reproduce, display, modify, adapt, and distribute that content, including, without limitation, to:

  • Display your content on the Site
  • Use your content to improve data quality, vendor rankings, and site features
  • Moderate or remove content that violates these Terms

5.2 Site Intellectual Property & Restrictions

All Site content, features, functionality, data compilations, algorithms, rankings, vendor information, country compliance data, design, code, and underlying databases are the exclusive property of e-Invoice.app and are protected by copyright, sui generis database rights, trademark, trade secret, and other intellectual property laws under applicable law. No rights are granted by implication, estoppel, or otherwise.

You expressly agree that you will NOT, whether by manual or automated means (including scraping, crawling, APIs, AI-assisted extraction, or screen capturing):

  • Copy, reproduce, duplicate, or replicate the Site or any substantial part of its content, structure, or functionality
  • Create any product, service, website, or application that is substantially similar to or competitive with the Site
  • Systematically download, store, or redistribute country compliance data, vendor profiles, or ranking data
  • Use the Site's data, structure, or methodologies as a basis for building a similar or derivative service
  • Extract or re-utilise any substantial part of the Site's database contents
  • Use any content from the Site to train, fine-tune, or evaluate machine learning models
  • Reproduce or mirror the Site's look, feel, navigation structure, or user experience

Anti-circumvention. You will not procure, permit, encourage, or assist any other person to do anything you are prohibited from doing under this Section 5.2, and you will not use any other person to circumvent these restrictions. This applies in particular to any Related Entity, your employer, principal, client, employees, agents, contractors, or third parties acting on your behalf, at your direction, or for whose benefit you act. You are responsible for compliance by all such persons as if their acts were your own.

Related Entity means any entity that, directly or indirectly, controls, is controlled by, or is under common control with you, where "control" means ownership of more than 50% of the voting interests, or the equivalent power to direct the management or policies of that entity.

5.3 Third-Party Sources

e-Invoice compliance data is compiled from official government sources, user contributions, and community feedback. We provide links to official sources for verification.

5.4 Reporting Infringement

If you believe content on the Site infringes your intellectual property or other rights, contact team@e-invoice.app with: (a) identification of the work allegedly infringed; (b) the location of the material on the Site; (c) your contact details; and (d) a good-faith statement that the use is not authorised by the rights holder or by law. We will review reports promptly and may remove or restrict access to the material at our discretion. Submitting false or bad-faith reports may result in liability.

5.5 Third-Party Links

The Site contains links to government, vendor, and other third-party websites. We do not endorse and are not responsible for the content, accuracy, availability, or practices of any third-party site.

6. Disclaimer of Warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT:

  • Information is complete, accurate, or current
  • The Site will be uninterrupted, secure, or error-free
  • Vendor rankings or match scores indicate vendor suitability for your specific needs
  • Vendor match recommendations constitute an endorsement or guarantee of vendor performance
  • User-contributed content is reliable or independently verified

THE SITE IS AN INFORMATIONAL RESOURCE ONLY. IT IS NOT A SUBSTITUTE FOR PROFESSIONAL LEGAL, TAX, OR ACCOUNTING ADVICE. YOU SHOULD CONSULT QUALIFIED ADVISORS AND VERIFY ALL COMPLIANCE INFORMATION WITH OFFICIAL GOVERNMENT SOURCES BEFORE MAKING BUSINESS DECISIONS.

Features designated as beta, preview, or experimental are provided without any service level commitment and may be modified, restricted, or discontinued at any time.

7. Vendor Directory & Sponsorship Disclosures

The commercial terms applicable to sponsors (including billing, cancellation, brand licensing, reporting, and programme changes) are set out separately in the Sponsor Annex to the relevant Order Form and do not form part of these consumer Terms.

7.1 Vendor Directory

The vendor directory is compiled from publicly available information and vendor submissions under legitimate interest (GDPR Article 6(1)(f)). Vendors may claim, correct, or request removal of their listing by contacting team@e-invoice.app. Inclusion in the directory does not constitute an endorsement.

7.2 Vendor Submissions & Referral Partners

This Section 7.2 applies to any vendor that requests, claims, or maintains a free directory listing, and to any party participating as a referral or marketing partner. Paid sponsors are additionally governed by the Sponsor Annex to the Order Form, which prevails in the event of conflict.

By submitting a listing request, claiming a listing, or providing logos, trademarks, descriptions, screenshots, links, or other content ("Vendor Materials"), you grant e-Invoice.app a non-exclusive, royalty-free, worldwide licence to use, host, store, reproduce, display, and distribute the Vendor Materials for the purpose of listing, promoting, and operating the directory across the Site and our communications. This licence terminates within a reasonable period after you request removal of your listing, subject to retention in archives, backups, and historical references.

You represent and warrant that:

  • You own or have all necessary rights to the Vendor Materials and to grant the licence above
  • The Vendor Materials do not infringe any third-party intellectual property, privacy, publicity, or other rights
  • The information you provide is accurate and not misleading
  • You have authority to act on behalf of the vendor or partner you represent

You acknowledge that you are bound by the Site IP restrictions in Section 5.2, including the prohibition on copying, scraping, mirroring, training machine learning models on Site content, or building competing or derivative services. These restrictions apply equally to free-listing vendors, referral partners, and paid sponsors. The warranties, licence, and restrictions in this Section 7.2 also extend to your Related Entities (as defined in Section 5.2), and you are responsible for their compliance as if their acts were your own.

You agree to indemnify e-Invoice.app in accordance with Section 9 for any claim arising from Vendor Materials you submit or from your breach of the warranties in this Section 7.2.

7.3 Advertising Funding Disclosure

Some features of the Site are funded by paid vendor sponsorships.

7.4 Sponsored Content Disclosure

Certain vendor listings are paid sponsorships. Sponsors may receive:

  • Enhanced visibility in search results and country pages
  • Priority placement in Vendor Match Tool results
  • Dedicated placement zones based on sponsorship tier
  • A "Verified" badge indicating active sponsorship status

Sponsored placements are clearly marked. Sponsorship does not affect compliance data objectivity.

7.5 Vendor Rankings

Vendor rankings are computed algorithmically based on multiple factors including data quality, coverage, and community engagement. Sponsorship results in visual badges only and does not inflate ranking scores.

7.6 Vendor Match Tool

The Vendor Match Tool matches users with vendors based on technical criteria. Submissions are shared with our appointed procurement partner for vendor matching and selection support. We are not a party to any vendor selection decisions or resulting contracts. We do not receive commissions from vendor selection outcomes.

7.7 Sponsor Enquiries

Information you submit through a sponsor enquiry or contact form is shared with the relevant sponsor so they can respond to you directly. The sponsor's handling of your information is governed by the sponsor's own privacy policy. Our handling is described in our Privacy Policy.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, E-INVOICE.APP SHALL NOT BE LIABLE FOR:

  • Compliance penalties or fines resulting from reliance on Site information
  • Business losses, lost profits, or indirect damages
  • Errors, omissions, or outdated information
  • User-generated content or third-party actions
  • Service interruptions or data loss
  • Outcomes of vendor selections made through the Vendor Match Tool or based on vendor rankings

Our total liability, in the aggregate for all claims arising out of or relating to these Terms or the Site, shall not exceed the lesser of AUD $100 or the total fees paid by you to e-Invoice.app in the twelve (12) months preceding the claim.

Any claim arising out of or relating to these Terms or the Site must be brought within one (1) year of the date on which the claim arose, except where a longer period is required by applicable law that cannot be excluded by agreement.

9. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless e-Invoice.app, its Related Entities, officers, directors, employees, agents, and contributors from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Site
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
  • Content you post or share

e-Invoice.app reserves the right to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate at your own expense. You will not settle any such claim without our prior written consent.

10. Force Majeure

Neither party shall be liable or responsible for any failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to: fire, flood, natural disaster, pandemic, governmental action, terrorism, system failures, labour difficulties, or failure of third-party infrastructure providers.

11. Content Moderation

We have no obligation to pre-screen or monitor user content, but we may do so at our discretion. We reserve the right to:

  • Remove or modify content that violates these Terms
  • Suspend or terminate accounts for misconduct
  • Transfer deleted user content to system accounts (to preserve community discussions)
  • Update vendor rankings based on algorithmic recomputation

12. Data and Privacy

Your use of the Site is also governed by our Privacy Policy. By using the Site, you acknowledge our data practices as described therein.

13. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes by:

  • Updating the "Last updated" date
  • Posting a notice on the Site
  • Sending email notifications (for significant changes)

Continued use after changes constitutes acceptance of the modified Terms.

14. Termination

You may delete your account at any time. We may suspend or terminate your access if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Required by law or regulatory authorities

Upon termination, your right to use the Site ceases immediately. Any provision which by its nature should survive termination shall survive.

We may modify, suspend, or discontinue all or part of the Site at any time, with or without notice, and without liability to you.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of New South Wales, Australia, without regard to conflict of law principles. This choice of law does not deprive you of any mandatory consumer protections that apply under the laws of your country or state of residence.

15.2 Dispute Resolution Process

If a dispute arises in connection with these Terms or your use of the Site:

  • Step 1: Informal resolution. Contact us at team@e-invoice.app to attempt to resolve the dispute informally.
  • Step 2: Good faith negotiation. If unresolved, the parties will attempt in good faith to negotiate a resolution, including (where practical) a meeting within thirty (30) days of written notice.
  • Step 3: Court proceedings. If still unresolved, either party may submit the dispute to the competent courts of New South Wales, Australia.

15.3 Consumer Law Protections

Nothing in these Terms excludes, restricts, or modifies any rights or remedies, or any guarantee, warranty, or other term or condition implied or imposed by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other mandatory consumer protection laws in your jurisdiction that cannot be excluded, restricted, or modified by agreement.

EU residents may also bring proceedings in their country of residence and may use the EU Online Dispute Resolution platform.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable Order Form or annex thereto, constitute the entire agreement between you and e-Invoice.app.

16.2 Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.

16.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

16.4 Assignment

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. e-Invoice.app may assign these Terms, in whole or in part, in connection with a merger, acquisition, restructuring, or sale of assets.

16.5 Notices

We may give notices to you by email (to the address associated with your account), by posting on the Site, or by any other reasonable means. You may give notices to us by email to team@e-invoice.app.
