1. Acceptance of Terms

By accessing, browsing, or using e-Invoice.app ("the Platform"), whether as an unauthenticated guest or a signed-in user, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you must immediately cease using the Platform.

Your continued use of the Platform constitutes ongoing acceptance of these Terms. For authenticated users, signing in via LinkedIn constitutes additional affirmative consent.

2. Description of Service

e-Invoice.app is a free, community-driven platform that provides:

  • Real-time e-Invoice compliance information across 90+ countries
  • Side-by-side country comparison tools
  • Professional discussion forums for tax, IT, and operations teams
  • A directory of e-Invoicing solution providers
  • A procurement wizard (Vendor Match) for vendor matching and RFP generation
  • Vendor rankings computed algorithmically from multiple quality factors
  • Country-specific news, changelogs, and implementation guides
  • Technical specifications and implementation guidelines
  • A colleague invitation system for professional networking

3. User Accounts

3.1 LinkedIn Authentication

You must sign in with a valid LinkedIn account to access certain features. By signing in, you:

  • Represent that you are at least 18 years old
  • Agree to provide accurate professional information
  • Authorise us to access your LinkedIn profile data as described in our Privacy Policy
  • Accept responsibility for all activities under your account

3.2 Account Security

You are responsible for maintaining the security of your account and any devices used to access the Platform. Notify us immediately of any unauthorised access or security breaches.

4. User Conduct

4.1 Acceptable Use

You agree to use the Platform for lawful, professional purposes only. Specifically, you agree to:

  • Provide accurate and helpful information about e-Invoice requirements
  • Respect the professional nature of community discussions
  • Give proper attribution when sharing third-party content
  • Report outdated or incorrect information through appropriate channels

4.2 Prohibited Conduct

You agree NOT to:

  • Post false, misleading, or malicious information
  • Engage in spam, advertising, or solicitation without permission
  • Harass, threaten, or abuse other users
  • Manipulate vendor upvotes, rankings, or voting systems through automated means, sockpuppet accounts, or coordinated inauthentic behaviour
  • Use automated tools, bots, or AI systems to scrape, crawl, or extract data from the Platform for training machine learning models, content generation, or building competing products
  • Circumvent or interfere with access control technologies, consent management, or security measures
  • Reverse engineer or attempt to access restricted areas
  • Upload viruses, malware, or harmful code
  • Impersonate other users or organisations

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of content you create (comments, discussions, feedback). By posting content, you grant e-Invoice.app a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable licence to:

  • Display your content on the Platform
  • Use your content to improve data quality, vendor rankings, and platform features
  • Moderate or remove content that violates these Terms

5.2 Platform Intellectual Property & Restrictions

All Platform content, features, functionality, data compilations, algorithms, rankings, vendor intelligence, country compliance data, design, code, and underlying databases are the exclusive property of e-Invoice.app and are protected by copyright, database rights, trademark, trade secret, and other intellectual property laws.

You expressly agree that you will NOT:

  • Copy, reproduce, duplicate, or replicate the Platform or any substantial part of its content, structure, or functionality
  • Create any product, service, website, or application that is substantially similar to or competitive with the Platform
  • Systematically download, store, or redistribute country compliance data, vendor profiles, or ranking data
  • Use the Platform's data, structure, or methodologies as a basis for building a similar or derivative service
  • Extract or re-utilise any substantial part of the Platform's database contents (within the meaning of the EU Database Directive 96/9/EC or equivalent Australian legislation)
  • Reproduce or mirror the Platform's look, feel, navigation structure, or user experience

This restriction applies to both manual extraction and automated means (including but not limited to scraping, crawling, APIs, AI-assisted extraction, and screen capturing).

The compilation of country compliance data, vendor profiles, ranking methodologies, and related data assets represents significant original investment and creative effort by e-Invoice.app and constitutes a protected database and copyrighted compilation.

5.3 Third-Party Sources

e-Invoice compliance data is compiled from official government sources, user contributions, and professional community feedback. We provide links to official sources for verification.

6. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT:

  • Information is complete, accurate, or up-to-date (despite our best efforts)
  • The Platform will be uninterrupted or error-free
  • Vendor rankings or match scores definitively indicate vendor suitability for your specific needs
  • Country compliance data replaces professional legal, tax, or accounting advice
  • Vendor match recommendations constitute an endorsement or guarantee of vendor performance
  • User-contributed content is reliable or professionally verified

THE PLATFORM IS AN INFORMATIONAL RESOURCE ONLY. IT IS NOT A SUBSTITUTE FOR PROFESSIONAL LEGAL, TAX, OR ACCOUNTING ADVICE. YOU SHOULD ALWAYS CONSULT QUALIFIED ADVISORS AND VERIFY ALL COMPLIANCE INFORMATION WITH OFFICIAL GOVERNMENT SOURCES BEFORE MAKING BUSINESS DECISIONS.

7. Vendor Directory, Sponsorships & Advertising Disclosure

7.1 Vendor Directory

The vendor directory is compiled from publicly available information and vendor submissions under legitimate interest (GDPR Article 6(1)(f)). Vendors may claim, correct, or request removal of their listing by contacting team@e-invoice.app. Inclusion in the directory does not constitute an endorsement. We make no guarantee regarding the accuracy or completeness of vendor listings.

7.2 Advertising Funding Disclosure

Certain features of the Platform are made possible through paid vendor sponsorships. Without this sponsorship support, we would not be able to provide comprehensive vendor intelligence and matching services at no cost to users.

7.3 Sponsored Content Disclosure

Certain vendor listings are paid sponsorships. Sponsors may receive:

  • Enhanced visibility in search results and country pages
  • Priority placement in wizard results
  • Dedicated placement zones based on sponsorship tier
  • A "Verified" badge indicating active sponsorship status

Sponsored placements are clearly marked. Sponsorship does not affect compliance data objectivity.

7.4 Vendor Rankings

Vendor rankings are computed algorithmically based on multiple factors including data quality, coverage, and community engagement. Sponsorship results in visual badges only and does not inflate ranking scores.

7.5 Vendor Match Wizard

The Vendor Match wizard matches users with vendors based on technical criteria. Submissions are shared with our appointed procurement partner for vendor matching and selection support. The Platform is not a party to any vendor selection decisions or resulting contracts. We do not receive commissions from vendor selection outcomes.

7.6 Vendor Upvotes

Vendor upvotes are a community endorsement signal. Manipulation of upvotes is prohibited per Section 4.2.

7.7 Sponsor Lead Data

Contact information submitted through sponsor inquiry forms is shared with the relevant sponsor vendor for direct follow-up only. Sponsors may not sell, transfer, sub-license, or distribute lead data to third parties or use it for purposes other than responding to the inquiry.

7.8 Sponsorship Duration & Cancellation

Sponsorships are activated upon execution of an Order Form and receipt of first payment. Unless otherwise specified in the Order Form:

  • Sponsorships are billed on a quarterly cycle
  • Either party may cancel with thirty (30) days' written notice to the other party
  • No refund is issued for the current billing period in which cancellation notice is given
  • Annual prepaid commitments, where offered, are eligible for a pro-rated refund of unused quarters if cancelled early
  • e-Invoice.app reserves the right to suspend sponsored placements if payment is not received within fourteen (14) days of the invoice date

The Order Form, together with these Terms, constitutes the entire agreement between e-Invoice.app and the sponsor with respect to the sponsorship engagement. In the event of any conflict between the Order Form and these Terms, the Order Form shall prevail to the extent of the inconsistency.

7.9 Sponsor Promotional Licence

By entering into a sponsorship arrangement, the sponsor grants e-Invoice.app a non-exclusive, royalty-free, worldwide licence to use, display, reproduce, and distribute the sponsor's name, logo, trademarks, and brand marks for the purpose of fulfilling and promoting the sponsorship. This licence extends to:

  • Permitted channels: the Platform, e-Invoice.app social media accounts (including LinkedIn), email communications, and pre-disclosed partner sites as agreed in writing
  • Permitted uses: sponsorship placements, badges, featured listings, promotional content, case studies, sponsor announcements, and related marketing materials

The sponsor may provide brand guidelines, and e-Invoice.app will use commercially reasonable efforts to comply with such guidelines. This licence terminates thirty (30) days after sponsorship expiry or cancellation, to allow for the orderly removal of promotional materials across all channels.

7.10 Sponsorship Reporting

e-Invoice.app provides active sponsors with quarterly analytics reports covering impressions, clicks, and leads generated through sponsored placements. Reports are delivered within ten (10) business days of quarter end. All metrics are indicative only and no performance guarantees are made, consistent with Section 6 of these Terms.

7.11 Modification of Sponsorship Programme

e-Invoice.app reserves the right to modify, restructure, or discontinue sponsorship tiers, benefits, placement options, pricing, and availability at any time at its sole discretion. Such changes may be made in response to market conditions, platform development, demand, or operational requirements. Changes to the sponsorship programme:

  • Do not affect the terms of any active Order Form for the remainder of its current billing period
  • Take effect for new sponsorships and upon renewal of existing sponsorships
  • Will be communicated to active sponsors with at least thirty (30) days' written notice before their next renewal date

If a sponsor does not accept modified terms, they may cancel their sponsorship in accordance with Section 7.8 prior to the renewal date at which the changes would take effect.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, E-INVOICE.APP SHALL NOT BE LIABLE FOR:

  • Compliance penalties or fines resulting from reliance on Platform information
  • Business losses, lost profits, or indirect damages
  • Errors, omissions, or outdated information
  • User-generated content or third-party actions
  • Service interruptions or data loss
  • Outcomes of vendor selections made through the Vendor Match wizard or based on vendor rankings

Our total liability for any claim shall not exceed the lesser of AUD $100 or the total fees paid by you to e-Invoice.app in the twelve (12) months preceding the claim.

9. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless e-Invoice.app, its affiliates, and contributors from any claims, damages, or expenses arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you post or share

10. Force Majeure

Neither party shall be liable or responsible for any failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to: fire, flood, natural disaster, pandemic, governmental action, terrorism, system failures, labour difficulties, or failure of third-party infrastructure providers.

11. Content Moderation

We reserve the right to:

  • Remove or modify content that violates these Terms
  • Suspend or terminate accounts for misconduct
  • Transfer deleted user content to system accounts (to preserve community discussions)
  • Update vendor rankings based on algorithmic recomputation

12. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy. By using the Platform, you acknowledge our data practices as described therein.

13. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes by:

  • Updating the "Last updated" date
  • Posting a notice on the Platform
  • Sending email notifications (for significant changes)

Continued use after changes constitutes acceptance of the modified Terms.

14. Termination

You may delete your account at any time. We may suspend or terminate your access if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Required by law or regulatory authorities

Upon termination, your right to use the Platform ceases immediately. Sections 5, 6, 7, 8, 9, 10, 12, 15, and 16 survive termination.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of New South Wales, Australia, without regard to conflict of law principles. This choice of law does not deprive you of any mandatory consumer protections that apply under the laws of your country or state of residence.

15.2 Dispute Resolution Process

If a dispute arises in connection with these Terms or your use of the Platform:

  • Step 1: Informal resolution. Contact us at team@e-invoice.app to attempt to resolve the dispute informally.
  • Step 2: Good faith negotiation. If unresolved, the parties agree to meet (in person or virtually) within twenty (20) days of receiving written notice of the dispute to negotiate a resolution in good faith.
  • Step 3: Court proceedings. If still unresolved, either party may submit the dispute to the competent courts of New South Wales, Australia.

15.3 Consumer Law Protections

Nothing in these Terms excludes, restricts, or modifies any rights or remedies, or any guarantee, warranty, or other term or condition implied or imposed by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other mandatory consumer protection laws in your jurisdiction that cannot be excluded, restricted, or modified by agreement.

EU residents may also bring proceedings in their country of residence and may use the EU Online Dispute Resolution platform.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable Order Form, constitute the entire agreement between you and e-Invoice.app.

16.2 Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.

16.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.
